Host Terms and Conditions

These Host Terms and Conditions (“Host Terms”) set out the terms and conditions between Palatelocal Technologies Private Limited, operating under the brand name Palatelocal (“Palatelocal”, “we”, “us”, or “our”), and you, the individual offering a dining experience (“Host”, “you”, or “your”) through the Palatelocal platform available at www.palatelocal.com and the Palatelocal mobile application (the “Platform”).

By registering your dining experience (“Experience”) on the Platform, you acknowledge and agree to be bound by these Host Terms and the Privacy Policy. Please read these Host Terms carefully before registering or listing your Experience. By proceeding, you are deemed to have read, understood, and accepted these Host Terms.

Registration and Onboarding

a. To be eligible to register and use the Platform, you must be at least 18 (eighteen) years of age and have the legal capacity to enter into a binding contract. By creating an account, you represent and warrant that you meet these and any other requirements as may be stipulated by the Platform. You may be required to verify your identity, age, or other credentials prior to participation in any Experience. The collection and use of your personal information in connection with your access to and use of the Platform is described in our Privacy Policy.

b. You must provide accurate, current, and complete information during the registration process and keep your account information updated. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. c. To list your Experience on the Platform, you must submit complete and accurate information, including:

  • Host name, full address of the Experience location, and your contact details.
  • Detailed description of the Experience, including maximum capacity, meal type, cuisine, dietary restrictions, menu, inclusions, operational hours/availability.
  • Pricing details for the Experience, including all applicable taxes and charges.
  • Full disclosure of all ingredients used and clear identification of potential allergens (e.g., nuts, dairy, gluten, shellfish).
  • High-quality, recent, genuine, and accurate images representing the food, dining environment, and the Experience.
  • Bank account details for payment settlements.
  • Any specific house rules or requirements that guests should abide by, including whether pets are welcome or not.

d. You represent and warrant that you possess all necessary rights, authorizations, licenses, permits, and approvals required under applicable law (including but not limited to food handling and safety regulations, licenses to serve alcohol, if applicable, etc.) to offer the Experience.

e. We reserve the right to remove or delist your Experience from the Platform at any time, and without prior notice, if we discover that any information or document you have provided is found to be incomplete, inaccurate, misleading, fraudulent or in violation of these Host Terms, or may be violation of applicable law, or poses a safety or medical risk, or is reported to be so.

Bookings and Notifications:

a. You will receive notifications of bookings made by users (“Guests”) via the Platform through your registered contact details or via the Platform interface, based on the preferences that you have opted for. b. Once a booking is confirmed and accepted, it shall constitute a legally binding agreement between you and the Guest.

Payments:

a. Palatelocal through its authorized payment gateway providers shall remit payments for bookings (less applicable commission, fees, taxes, or charges, as agreed between you and Palatelocal) to your designated bank account within [insert number of days] after the successful completion of the Experience. The payout in respect of any confirmed booking shall be released to the Host only upon the occurrence of either of the following events:

  • Completion Confirmation: Both the Guest and the Host have duly marked the booking as “Complete” through the Platform interface; or
  • Lapse of Dispute Window: The Guest has failed to raise any dispute or complaint within 24 (twenty-four) hours from the scheduled completion time of the Experience, in which case the booking shall automatically be deemed completed, and the payout shall be processed accordingly. Any such dispute or complaint raised shall be reviewed and resolved by the Company within 24 (twenty-four) hours of receipt of such dispute.

b. Any cancellation of a confirmed booking prior to the completion of the aforementioned steps shall result in an immediate suspension/cancellation of payout release and shall trigger the refund process in accordance with the provisions of this Policy and the Cancellation and Refunds Policy. Palatelocal reserves the right to withhold or adjust the payout in cases of disputes, cancellations, or suspected policy violations.

c. You are solely responsible for maintaining accurate and updated banking details with Palatelocal (or its authorized payment service providers) and for the payment of all applicable taxes on your earnings.

Cancellation and Refund:

All cancellations, refunds, and related claims shall be governed strictly in accordance with the terms and conditions specified under the Cancellation and Refund Policy of the Platform, as amended from time to time. The said Policy shall form an integral part of these Host Terms and shall be deemed to have been read, understood, and accepted by the Host.

Right to Deny Entry or Remove a Guest and other matters related to the Experience:

a. You retain the right to deny entry or remove any Guest from your residence on reasonable grounds, including:

  • Misconduct, unruly behavior, intoxication, aggressive or dangerous conduct, harassment, bullying, etc.;
  • Non-compliance with your published house rules or policies; or
  • Violations of applicable laws or these Host Terms.

Disclaimer: In no event will Palatelocal be responsible for taking any action or providing assistance in such situations. Hosts are advised to seek help from local law enforcement authorities or emergency health services as appropriate and as required, depending on the circumstances.

b. In exercising this right, you shall remain solely responsible for managing such situations. Palatelocal shall not be responsible or liable for any disputes, claims, injuries, deaths or damages etc. arising from your decision to deny entry or remove a Guest.

c. You may report any such incidents to Palatelocal. However, we do not control or take responsibility for the behaviour of Guests, and we do not conduct any background checks or other checks on the suitability or otherwise of Guests to attend the Experience. You may, at your sole discretion, decide to take any further steps or pursue other available remedies, in case of Guest misconduct, harassment, etc.

d. Guests are encouraged to leave reviews of the Experience. You agree that such user reviews, including photographs and videos (if you have permitted them to take photos/videos) will be made public through the Platform. We do not control the content of such reviews. However, if you believe that any reviews are inaccurate, contain inappropriate content or may be defamatory or otherwise a breach of applicable law, you may report it to us, providing a brief description of the reason for your grievance. In our discretion, and based on our reasonable enquiry, we may decide to take down such reviews, or report them, if so required or appropriate.

e. You shall promptly report to Palatelocal any accidents, injuries, health issues, food related incidents, or safety and misconduct complaints involving Guests, including where any reports/complaints have been made to the local authorities (as mentioned in Clause 5(a)) involving you, or incidents mentioned in Clause 5(d) and acknowledge that Palatelocal may temporarily suspend your listing during such investigation/review as appropriate.

Host Standards, Safety, and Hygiene

a. You represent, warrant, and undertake that your residence and food preparation practices comply, at all times, with all applicable laws, regulations, and local guidelines, including but not limited to food safety norms, hygiene and sanitation standards.

b. You are solely responsible for the quality, safety, and hygiene of the food and beverages you serve. You must ensure that all food is prepared, stored, and served in a manner that is safe for consumption.

c. You acknowledge and agree that Palatelocal does not undertake any physical inspection, verification, audit, or certification of your residence, kitchen, food preparation processes, or safety measures. You remain solely responsible and liable for ensuring and maintaining the safety, quality, legality, and fitness of your Experience and agree to maintain your residence, kitchen, dining area, and any equipment used for the Experience in a clean, safe, sanitary, and operational condition.

d. Palatelocal expressly disclaims any liability arising from, or relating to, the quality, condition, safety, or suitability of your Experience, including for illness, allergic reactions, injury to, or death of Guests.

e. You agree to act in a courteous, respectful, and professional manner towards Guests at all times and shall not engage in harassment, misconduct, including engaging in any form of discrimination based on gender, religion, ethnicity, or any other protected category under applicable law.

Promotions and Discounts

a. We do not undertake to promote or market your listed Experiences, other than through the normal course of business on the Platform. You may run promotions or offer discounts on the Platform, subject to prior written approval by Palatelocal. We do not guarantee the success of, or any minimum bookings or business arising out of, such promotions or discounts.

b. If you independently run promotions or discounts outside the Platform, Palatelocal shall have no responsibility or liability whatsoever related to these offers.

Liability and Indemnification

a. You acknowledge and agree that Palatelocal acts only as an intermediary booking platform. Palatelocal shall not be liable or responsible for any claims, demands, losses, injuries, illnesses, deaths, damages (direct or indirect), or liabilities arising out of or in connection with any booking or activities occurring during your Experience.

b.* You agree to indemnify, defend, and hold harmless Palatelocal, its affiliates, directors, officers, employees, and agents from and against any and all claims, losses, liabilities, damages, and expenses, including reasonable legal fees, arising from:

  • Your breach of these Host Terms or your improper use of the Platform;
  • Your negligence, fraud, misconduct, or failure to comply with applicable laws, including hygiene or safety standards;
  • Any claim, illness, injury, or death suffered by Guests or third parties due to the food served or the condition of your residence or due to the acts of the Guests, their pets, or your pets; and
  • Any loss or damage to property or assets of the Guests or third parties, arising out of, or pursuant to your acts/omissions or failure to comply with applicable law.

c. In no event will Palatelocal be liable for any indirect, consequential, punitive, or special damages, including loss of profit, goodwill, or business reputation. At no point will our liability exceed Rs. 1,000/- (Rupees One Thousand Only) in the aggregate.

Disclaimers

a. The Platform and services are provided “as is” and “as available,” without warranty of any kind, either express or implied. Palatelocal explicitly disclaims any warranties of merchantability, fitness for a particular purpose, quiet enjoyment, or non-infringement.

b. Palatelocal expressly disclaims any responsibility for verifying the legality, quality, safety, or condition of your Experience. Guests are solely responsible for assessing and accepting your Experience at their own risk.

c. Given the nature of the Experience, which involves hosting individuals at your residence/home, and which assumes a high degree of trust, you are advised to exercise caution in who you host while accepting Experiences. In the absence of robust rating systems providing any indication of the conduct of individuals (whether Hosts or Guests), you may consider limiting the Experiences to individuals known to you or recommended by persons known to you.

d. You acknowledge and agree that Palatelocal does not guarantee (a) the availability, performance, or outcomes of bookings made through the Platform, (b) any minimum business or bookings arising out of the Platform, and (c) that the Platform will be error-free, uninterrupted, or secure at all times.

e. You agree and acknowledge that:

  • Palatelocal does not conduct any due diligence, inspection, or quality check of your residence, kitchen, or the food you provide.
  • Guests who book your Experience do so at their own discretion and risk.
  • Palatelocal is not responsible for enforcing your house rules, safety protocols, or hygiene measures. You are solely responsible for managing and enforcing these on-site.
  • Palatelocal shall not be liable for any injury, damage, loss, illness, or death suffered by Guests or third parties due to any activity or incident at your residence, including those caused by pets.
  • Palatelocal does not conduct background checks on Guests and is not responsible for their behaviour or conduct while at your residence/during the Experience. You are responsible for your own safety and security when interacting with Guests.
  • Any statements or representations made by Guests or shown on the Platform (such as reviews) are user-generated and not endorsed or verified by Palatelocal.

f. You agree not to solicit or encourage Guests to make direct bookings or payments outside the Platform for any current or future Experiences. Any violation may result in immediate delisting, penalties, and withholding of payments.

g. The Platform may contain links to third-party websites, payment gateways, or services. Palatelocal does not control, endorse, or assume responsibility for any such external sites or services. Use of such third-party services is entirely at your own risk.

h. These disclaimers apply to the fullest extent permissible under applicable law and shall survive the termination of your relationship with Palatelocal.

Intellectual Property Rights

a. All intellectual property, including trademarks, service marks, logos, software, text, graphics, images, and other content on the Platform, are owned or licensed by Palatelocal. You agree not to reproduce, distribute, modify, create derivative works of, or otherwise exploit any portion of the Platform or its content without prior written consent.

b. You grant Palatelocal a non-exclusive, worldwide, royalty-free license to use your name, trademarks, logos, photographs, videos, descriptions and other content provided by you on the Platform for marketing, advertising, or promotional purposes. You represent that you have all necessary rights to grant the above license and that Palatelocal’s use of such intellectual property will not infringe third-party rights.

Data Protection and Confidentiality

a. We expect you to maintain confidentiality and respect the privacy of Guest information shared with you. You may access limited personal information of Guests solely for providing the Experience and agree to handle such data in compliance with applicable data protection laws and Palatelocal’s Privacy Policy, without retaining, misusing, disclosing, or sharing it for any other purpose other than as expressly stated herein. You are not permitted to, and should not, utilize Guest's personal information for any other reason other than to provide the Experience, and shall not utilize such information after the conclusion of the Experience, unless you have explicitly obtained the Guest’s consent to do so.

b. In addition to your obligation to protect personal data shared with you, you agree to maintain strict confidentiality of any proprietary, business, or technical information received from Palatelocal and not disclose or misuse such information for any purpose other than performing your obligations under these Host Terms.

Amendment

Palatelocal reserves the right to amend or update these Host Terms at its sole discretion. Such amended Terms shall become effective immediately upon being posted on the Platform, and your continued use of the Platform or participation in any Experience shall constitute your acceptance of the updated Terms.

Force Majeure

Palatelocal shall not be liable for any failure or delay in performing its obligations under these Host Terms due to causes beyond its reasonable control, including, but not limited to, acts of nature, governmental actions, pandemics, technical failures, or interruptions of internet services.

Termination

Palatelocal may immediately terminate or suspend your access to the Platform immediately upon written notice (including by email) if:

  • You violate these Host Terms or any other applicable agreement or terms or applicable law;
  • You repeatedly or frequently cancel confirmed bookings without a valid justification.
  • Complaints related to safety, quality, hygiene, or legality of your Experience arise, or due to your breach of applicable law, or a threatened breach of applicable law, or public health risks;
  • Incidents of misconduct, riotous or disorderly behaviour, or other acts or omissions constituting misconduct (including engaging in harassment, bullying, being discourteous or disrespectful to Hosts, etc.) are reported; and/or
  • You have misused the Platform in any other way.

Upon termination or suspension, you will not be entitled to host/provide any Experience, including any confirmed Experiences that Guests may have booked.

Governing Law and Dispute Resolution

These Host Terms shall be governed by the laws of India. Any disputes arising hereunder shall be subject exclusively to the courts at Bengaluru, India.

Miscellaneous

a. The Experience must be hosted by you. Hence, you shall not assign or transfer your rights or obligations under these Host Terms without prior written consent from Palatelocal. Palatelocal may assign its rights and obligations to any of its affiliates or successors without restriction.

b. These Host Terms, along with the Cancellation and Refund Policy and the Privacy Policy, constitute the entire understanding between Palatelocal and you with respect to your listing and bookings on the Platform.
